4. Your Responsibilities as a User or Client

- Legal Compliance: Use Services per the Information Technology Act, 2000, and avoid unlawful activities.

5. Payment Terms for Services

- Invoices: Payments are due within 15 days of invoice receipt, unless otherwise agreed.
- Late Payments: A 1.5% monthly late fee applies to overdue amounts.
- Taxes: Clients cover applicable taxes (e.g., GST, if Cynor registers). Cynor includes taxes in invoices.
- Refunds: Refunds are issued only as per specific agreements or under the Consumer Protection Act, 2019.
6. Intellectual Property Rights
- Ownership: Cynor retains all rights (copyrights, trademarks) in the Website, Services, and custom software tools in India.
- Client License: Clients receive a non-exclusive, non-transferable license to use Deliverables for internal business purposes, subject to full payment.

- This obligation lasts two (2) years post-termination.

- Clients must obtain consents for sharing personal data with Cynor.

9. Deliverable Acceptance
- Clients have seven (7) days to review Deliverables for compliance with agreed specifications.
- Notify Cynor in writing of any issues within this period via cynor.help@gmail.com.
- Cynor will fix reported issues at no cost. No notification means Deliverables are accepted.
10. Warranties and Disclaimers
- Cynor ensures Services are delivered with reasonable skill, meeting software industry standards in India.
- Services are provided “AS IS” without implied warranties, including merchantability or fitness for a particular purpose.
- Cynor does not guarantee uninterrupted or error-free Services or compatibility with all systems.
- Clients are responsible for damages from misuse of business automation tools.
11. Limitation of Liability
- Cynor is not liable for indirect, incidental, or consequential damages (e.g., lost profits or data) from using the Website or Services.
- Cynor’s liability is capped at the Fees paid for the specific Service.
- Liability for death, injury, or fraud due to negligence is not limited.
12. Indemnification
- Clients indemnify Cynor against claims from misuse of Services, violation of Terms, or third-party rights infringement.
- Cynor indemnifies Clients against claims that Services infringe third-party intellectual property, provided Clients notify us promptly.
13. Termination
- Client Termination: Notify Cynor in writing 30 days in advance, paying for Services rendered.
- Cynor Termination: We may suspend or terminate access for Terms violations, non-payment, or illegal activities.
- Upon termination, Clients pay outstanding Fees, and Cynor returns/destroys Confidential Information, unless required by law.
14. Governing Law and Dispute Resolution
- These Terms are governed by Indian laws, including the Indian Contract Act, 1872, and Information Technology Act, 2000.
- Disputes will be resolved through negotiation within 90 days.
- Unresolved disputes fall under the exclusive jurisdiction of Mumbai, Maharashtra courts.
15. Force Majeure
Cynor is not liable for delays due to uncontrollable events like natural disasters or internet outages.
16. Additional Provisions
- Entire Agreement: These Terms and signed proposals form the complete agreement, superseding prior agreements.
- Amendments: Updates are posted on the Website, and continued use implies acceptance.
- Assignment: Rights cannot be assigned without Cynor’s consent.
- Severability: Invalid provisions do not affect remaining Terms.
